Terms & Conditions

Effective Date:

Last Updated:

These Terms & Conditions (“Terms”) govern the purchase and use of parking reservations and related services provided or coordinated by Sully Parking LLC (“Sully Parking,” “Sully,” “we,” “us,” or “our”).

By purchasing a reservation, affirmatively selecting a checkbox indicating acceptance of these Terms, proceeding with payment after these Terms have been made available, presenting or scanning a Sully Parking QR code, entering or parking at a Sully Parking location, or using services associated with a Sully Parking reservation, you (“Customer,” “you,” or “your”) acknowledge that you have read, understand, and agree to these Terms.

For online advance reservations, Sully may require affirmative acceptance of these Terms before payment can be completed.

PLEASE READ THESE TERMS CAREFULLY BEFORE COMPLETING YOUR PURCHASE.

Eligibility & Agreement to Terms

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to purchase a Sully Parking reservation.

The individual purchasing a reservation is the “Reservation Holder.”

A “Guest” means another individual accompanying the Reservation Holder or using services associated with the Reservation Holder’s reservation.

An “Authorized Rider” means a Reservation Holder or Guest who meets the transportation eligibility requirements applicable to the reservation and has received any wristband or other credential required by Sully.

The Reservation Holder is responsible for providing accurate reservation information and communicating applicable parking, arrival, transportation, safety, property, and operational rules to Guests.

Nothing in these Terms makes a Reservation Holder responsible for conduct of another person to an extent prohibited by applicable law.

Parking Reservations

A valid Sully Parking reservation reserves parking inventory for one eligible vehicle at the parking facility, date, reservation period, and package identified in the reservation, subject to these Terms and applicable facility or event rules.

A reservation constitutes a limited, revocable license to park. It does not constitute a lease or tenancy and does not transfer possession, custody, or control of the vehicle or its contents to Sully.

Unless Sully expressly states otherwise, you retain possession of your vehicle and keys at all times.

Your reservation is valid only for the date, location, reservation period, vehicle, package, and services identified in the reservation.

Unless the reservation expressly identifies a specific numbered or otherwise individually assigned parking space, a reservation does not guarantee any particular physical parking space within the applicable facility.

Sully may direct customers to particular spaces or parking areas based on traffic flow, accessibility, safety, facility conditions, and operational requirements.

Advance Reservation Deadline

Advance Sully Parking reservations must be completed no later than forty-eight (48) hours before the applicable parking date unless Sully expressly communicates a different deadline.

Once advance reservations close, Sully is not required to accept additional advance reservations.

Drive-up parking may be offered at Sully’s discretion and is subject to availability, capacity, applicable pricing, and event-specific restrictions.

Drive-up parking is not guaranteed.

Drive-up availability does not guarantee the same price, parking package, parking location, transportation access, partner benefit, or other feature offered with an advance reservation.

Payments, Cancellations & Refunds

CANCELLATION AND REFUND REQUESTS RECEIVED ON OR BEFORE THE APPLICABLE DEADLINE ARE ELIGIBLE FOR A REFUND. LATER CANCELLATIONS ARE NON-REFUNDABLE EXCEPT WHERE A REFUND OR OTHER REMEDY IS REQUIRED BY APPLICABLE LAW.

For Magic City Classic on October 31, 2026, the package-specific cancellation/refund deadlines are:

  • Parade-Only Parking: October 29, 2026, at 6:00 AM Birmingham local time.
  • Game Day Parking: October 29, 2026, at 3:00 PM Birmingham local time.
  • All-Day Parking: October 29, 2026, at 3:00 PM Birmingham local time.

These deadlines are inclusive: a request received exactly at the deadline is eligible. Cancellation remains available after the deadline, but the cancellation is non-refundable. The forty-eight (48) hour cancellation/refund cutoff is separate from the advance reservation deadline and the arrival windows below.

For new purchases that expressly include an automatic no-show refund in their purchased terms, Sully will automatically initiate a refund after the stated arrival cutoff if the paid reservation remains active and has no successful check-in. Any successful earlier check-in, including an All-Day morning check-in, makes the reservation ineligible. Bank processing takes additional time. This benefit does not apply to reservations whose purchased terms do not include it and does not change the cancellation/refund deadlines above.

Outside this timely cancellation/refund policy or an automatic no-show refund expressly included in the purchased reservation terms, and except where required by applicable law, Sully does not provide refunds, partial refunds, credits, exchanges, reimbursements, or replacement reservations because of:

  • A change of plans or customer cancellation;
  • A decision not to attend an event;
  • Failure to use a reservation;
  • Late arrival or no-show;
  • Traffic, congestion, accidents, road closures, or detours;
  • Navigation errors or travel to the wrong location;
  • Weather;
  • Event delays, postponements, or schedule changes;
  • Transportation wait times;
  • Missing or electing not to use transportation;
  • Missing final return transportation;
  • Failure to use a partner offer or benefit;
  • Failure to present or verify a valid reservation;
  • Failure to follow parking, transportation, or operational instructions;
  • Leaving the parking facility and attempting to re-enter; or
  • Other circumstances outside Sully’s reasonable control.

Purchasing a reservation removes parking inventory from availability to other customers. Except for an automatic no-show refund expressly included in the purchased reservation terms, a customer’s decision or inability to use a reservation after the cancellation/refund deadline does not independently create a right to a refund.

If Sully is unable to provide the parking access purchased by a customer due solely to a failure within Sully’s control, Sully will address the affected transaction in accordance with applicable law and any remedy communicated to the customer.

Nothing in these Terms eliminates a consumer right or remedy that cannot lawfully be waived.

Arrival Deadlines, Grace Periods & No-Shows

The arrival deadline applicable to your reservation depends on the parking package purchased. For Magic City Classic on October 31, 2026, all times below are Birmingham local time.

Parade-Only Parking: Arrive and complete check-in between 6:00 AM and 8:15 AM. The last arrival is fifteen (15) minutes after the scheduled start of the parade.

Game Day Parking: Arrive and complete check-in between 9:30 AM and 3:00 PM.

All-Day Parking: Arrive and complete check-in between 6:00 AM and 3:00 PM.

The game starts at 2:30 PM. The 3:00 PM last-arrival deadline for Game Day and All-Day Parking is thirty (30) minutes after the game starts. Arrival deadlines do not change purchased parking periods: Parade-Only Parking remains 6:00 AM–9:00 AM, Game Day Parking remains 9:30 AM–8:30 PM, and All-Day Parking remains 6:00 AM–8:30 PM.

After the applicable grace period expires, a reservation may be considered a no-show and the reserved parking inventory may be released for use or sale to another customer.

Once inventory has been released, Sully is not required to restore the original space, provide another space, relocate the customer, provide a future reservation, issue a credit, or issue a refund, except for an automatic no-show refund expressly included in the purchased reservation terms or as required by applicable law.

If parking remains available when a late customer arrives, Sully may elect to accommodate the customer. Such accommodation is discretionary, subject to then-current availability, and does not create an obligation regarding other customers or future reservations.

Traffic, congestion, road closures, accidents, rideshare delays, weather, navigation errors, difficulty locating the facility, event traffic, or other travel conditions do not automatically extend a grace period.

Customers are responsible for allowing sufficient travel time.

Mobile Reservations, QR Codes & Entry

Customers with mobile reservations must have their reservation confirmation and valid Sully Parking QR code available upon arrival.

MOBILE RESERVATION CUSTOMERS MUST PRESENT AND SUCCESSFULLY SCAN A VALID SULLY PARKING QR CODE BEFORE ENTRY INTO THE PARKING FACILITY.

The QR code serves as the customer’s digital parking credential and may be used to verify the reservation, package, vehicle, date, location, and entry status.

Customers are responsible for ensuring their device is sufficiently charged and the QR code is accessible. Customers are encouraged to save or screenshot their QR code before arrival.

QR codes may not be duplicated, altered, counterfeited, resold, reproduced, or used to admit more vehicles than authorized.

Once redeemed, a QR code may not be reused to admit another vehicle or obtain re-entry unless Sully expressly authorizes otherwise.

Fraudulent, altered, duplicated, previously redeemed, invalid, or unauthorized QR codes may be rejected.

If a customer cannot present or scan a valid QR code, Sully personnel may attempt to verify the reservation using the reservation number, name, contact information, license plate, or other reservation information.

Alternative verification is subject to successful confirmation of a valid reservation. Entry is not guaranteed when the reservation cannot reasonably be verified.

Customer & Vehicle Information

Customers must provide accurate reservation, contact, vehicle, and license plate information.

Where Sully provides a method to update reservation information, customers are responsible for making or communicating material changes before arrival.

Material discrepancies may require additional verification and may result in delayed or denied entry if Sully cannot reasonably verify authorization.

Single Entry & No Re-Entry

Unless expressly stated otherwise, each reservation is valid for one vehicle and one entry.

NO RE-ENTRY IS PERMITTED.

Once a vehicle exits the parking facility, the parking session is complete.

Sully is not required to readmit the vehicle, provide another space, issue a replacement reservation, provide a credit, or issue a refund.

An All-Day reservation does not create a right to exit and return unless Sully expressly states otherwise.

Parking Location & Directions

Customers must use the parking address and directions provided by Sully through the reservation confirmation, parking pass, reminder, Day-of Guide, or other official reservation communication.

The event venue address may not be the address of the applicable Sully Parking facility.

Customers are responsible for navigating to the correct parking facility.

Sully is not responsible for delays caused by navigating to the wrong location, entering an incorrect destination, disregarding provided directions, or traveling directly to the event venue rather than the designated parking facility.

Parking Assignments & Staff Directions

Customers must park only in the space or area assigned or directed by Sully personnel where assigned or staff-directed parking is used.

Customers may not reserve, occupy, block, or otherwise claim additional spaces without authorization.

Customers must follow reasonable instructions concerning vehicle placement, traffic flow, entrances, exits, pedestrian areas, transportation loading areas, and parking operations.

Assignments may be reasonably modified for operational, traffic, safety, accessibility, property, government, law-enforcement, or emergency reasons.

Parking Hours, Closing Time & Overstays

A reservation is valid only during the applicable reservation or event period.

Customers must remove their vehicles by the stated closing time, reservation end time, or vehicle-removal deadline communicated by Sully.

Where Sully expressly offers an extension, availability is subject to capacity, operational requirements, and applicable charges.

Vehicles remaining beyond the authorized period or removal deadline may be subject to additional charges or lawful towing or removal.

Towing & Vehicle Removal

Sully may deny access to, direct the movement of, or take lawful steps regarding vehicles that:

  • Lack valid parking authorization;
  • Occupy unauthorized or restricted areas;
  • Occupy a space other than an assigned space where assigned parking is used;
  • Block entrances, exits, drive aisles, emergency routes, pedestrian areas, transportation operations, or other vehicles;
  • Create a safety hazard;
  • Violate posted parking or property rules;
  • Remain beyond authorized parking hours or a vehicle-removal deadline;
  • Appear abandoned;
  • Are associated with unlawful activity; or
  • Materially interfere with safe parking operations.

Where permitted by applicable law and property requirements, an unauthorized, improperly parked, abandoned, or overstaying vehicle may be towed or otherwise lawfully removed.

To the extent permitted by law, the vehicle owner or other responsible party is responsible for applicable towing, storage, recovery, administrative, or related charges.

Vehicle Eligibility

Unless otherwise stated, reservations are intended for ordinary passenger vehicles capable of safely fitting within one standard parking space.

Oversized vehicles, commercial vehicles, buses, trailers, recreational vehicles, vehicles requiring multiple spaces, or unusually sized vehicles may require prior approval.

Sully may deny entry when a vehicle cannot safely or reasonably be accommodated.

Vehicle & Personal Property Responsibility

CUSTOMERS PARK THEIR VEHICLES AND LEAVE PERSONAL PROPERTY AT THE PARKING FACILITY AT THEIR OWN RISK, SUBJECT TO RIGHTS AND LIABILITIES THAT CANNOT LEGALLY BE WAIVED.

A Sully Parking reservation provides access to parking. It does not constitute insurance for a vehicle or its contents.

Sully does not take custody of a customer’s vehicle, keys, or belongings unless Sully expressly agrees otherwise in writing.

Customers remain responsible for locking vehicles, closing windows, securing keys, and removing or concealing valuables.

To the fullest extent permitted by applicable law, Sully is not responsible or liable for loss of, theft of, or damage to a vehicle or personal property resulting from circumstances outside Sully’s legal responsibility, including theft, attempted theft, burglary, vandalism, hit-and-run incidents, third-party damage, fire, wind, rain, flooding, hail, lightning, falling objects, trees or branches, debris, severe weather, vehicle malfunction, items left in or attached to a vehicle, or other acts or conditions outside Sully’s reasonable control.

Customers should not leave cash, electronics, identification documents, event tickets, valuable property, or other sensitive items visible or unsecured.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Parking Facility & Premises Conditions

Parking facilities may contain conditions ordinarily associated with outdoor parking and event environments, including vehicle traffic, pedestrian traffic, curbs, wheel stops, pavement transitions, gravel, grass, uneven surfaces, temporary equipment, cones, barriers, cables, weather-related conditions, low-light conditions, standing water, debris, crowds, and changing traffic patterns.

Customers and Guests are responsible for exercising reasonable care while walking, driving, entering or exiting vehicles, boarding transportation, and moving through parking and loading areas.

Customers should promptly notify Sully personnel of a condition they reasonably believe presents an immediate safety concern.

Nothing in this section limits any duty or liability that cannot lawfully be limited.

Security Measures

A Sully Parking facility may use attendants, lighting, cameras, barriers, access controls, QR verification, license plate recognition, signage, or other security and operational measures.

THE PRESENCE OF SECURITY OR MONITORING MEASURES DOES NOT GUARANTEE THAT THEFT, VANDALISM, COLLISION, PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER INCIDENTS WILL NOT OCCUR.

Cameras or personnel may not monitor every area at every moment.

Sully does not represent that a parking facility is free from risk and does not act as an insurer of vehicles, property, or persons.

Customer Conduct & Prohibited Activity

Customers and Guests must follow reasonable instructions from Sully personnel, posted signs, traffic controls, applicable law, property-owner rules, and event-specific rules.

Customers must drive cautiously and avoid blocking entrances, exits, emergency routes, pedestrian areas, transportation areas, or other vehicles.

The following may result in denial of access, termination of service, removal from the property, or other lawful action:

  • Illegal activity;
  • Reckless or unsafe driving;
  • Threatening, abusive, violent, or harassing conduct;
  • Intentional property damage;
  • Fraudulent use of reservations, QR codes, wristbands, or credentials;
  • Unauthorized commercial activity or solicitation;
  • Creating an unreasonable safety risk;
  • Tampering with Sully equipment, signs, barriers, cameras, access systems, or operational equipment; or
  • Material interference with parking or transportation operations.

Additional facility-specific restrictions concerning tailgating, alcohol, grills or open flames, overnight parking, hazardous materials, amplified sound, or similar activities may be communicated through facility rules, signage, reservation materials, or the Day-of Guide.

Transportation Services

Certain reservations may include or provide access to transportation between a designated Sully Parking facility and an event-area pickup or drop-off location.

Transportation may be operated by an independent third-party transportation provider.

Where an independent provider operates transportation, that provider is responsible for operation of its vehicles and conduct of its transportation services.

Sully may coordinate, arrange, advertise, or provide access to transportation as part of the parking experience. Such coordination does not mean Sully owns or operates a transportation vehicle unless expressly stated.

Customers and Authorized Riders must follow applicable boarding, conduct, and safety instructions.

To the fullest extent permitted by applicable law, Sully is not responsible for acts or omissions of an independent transportation provider except to the extent applicable law provides otherwise.

Transportation Eligibility & Wristbands

Transportation is available only to individuals who qualify as Authorized Riders under the applicable reservation.

The number of Authorized Riders, if limited, will be stated in the reservation, parking package, Day-of Guide, or other applicable customer communication.

Authorized Riders will receive a Sully Parking transportation wristband or other designated transportation credential when required.

A VALID SULLY PARKING TRANSPORTATION WRISTBAND OR OTHER AUTHORIZED TRANSPORTATION CREDENTIAL IS REQUIRED TO BOARD.

A parking reservation does not authorize transportation for an unlimited number of individuals unless Sully expressly states otherwise.

Transportation credentials are non-transferable and may not be sold, shared, duplicated, altered, reproduced, or provided to an unauthorized individual.

Sully personnel or the applicable transportation provider may verify eligibility and deny boarding to an individual who cannot present the required credential.

Transportation Hours, Capacity & Event Arrival

Transportation availability, operating hours, pickup locations, drop-off locations, boarding requirements, rider eligibility, and instructions will be communicated through reservation materials, the Day-of Guide, or other customer communications.

Transportation operates subject to vehicle capacity, traffic conditions, applicable law, safety requirements, and operating conditions.

Customers may be required to wait for the next available vehicle when transportation has reached capacity.

A PARKING RESERVATION OR ACCESS TO TRANSPORTATION DOES NOT GUARANTEE ARRIVAL AT AN EVENT DESTINATION BY A PARTICULAR TIME.

Travel times may be affected by traffic, road closures, law-enforcement controls, pedestrian traffic, event operations, passenger volume, capacity, boarding demand, weather, accidents, safety conditions, mechanical conditions, or other circumstances outside Sully’s reasonable control.

Customers are responsible for allowing sufficient time for parking check-in, boarding, transportation, walking, security screening, and venue entry.

Return Transportation

Customers are responsible for reviewing and remembering the designated return pickup location and transportation operating hours.

Customers must return to the designated pickup location before transportation service ends.

Sully does not guarantee transportation outside the communicated operating period.

A customer who misses final return transportation is responsible for arranging and paying for alternative transportation back to the parking facility.

Missing transportation does not create a right to a parking refund.

Third-Party Partners & Services

Sully may work with independent third parties, including transportation providers, restaurants, coffee shops, property owners, event-related businesses, technology providers, payment processors, and other participating partners (“Third-Party Partners”).

Unless Sully expressly states otherwise in writing, Third-Party Partners are independent businesses and are not employees, agents, subsidiaries, joint venturers, or representatives of Sully.

Sully’s coordination with, referral to, promotion of, or provision of access to a Third-Party Partner does not mean Sully owns, operates, manages, supervises, or controls that partner’s business, property, employees, vehicles, products, or services.

Customers use Third-Party Partner services and enter Third-Party Partner vehicles, businesses, facilities, or property subject to applicable partner rules and rights and liabilities that cannot legally be waived.

Third-Party Products, Food & Beverages

Third-Party Partners are responsible for the products and services they provide.

Sully does not manufacture, prepare, or independently warrant food, beverages, merchandise, transportation services, or other products or services supplied by an independent Third-Party Partner.

Customers are responsible for communicating allergies, dietary restrictions, product concerns, and service-related matters to the applicable provider.

Partner Offers & Promotions

A reservation may provide access to discounts, promotional codes, complimentary items, or other benefits offered by participating Third-Party Partners.

Partner offers may be subject to operating hours, inventory, availability, redemption requirements, exclusions, policies, and other conditions.

Unless expressly stated otherwise, partner offers have no cash value and cannot be exchanged for cash, a Sully Parking refund, or credit.

The unavailability of a Third-Party Partner, partner product, promotional benefit, or partner service does not automatically create a right to a Sully Parking refund.

Event Information & Third-Party Events

Sully provides parking and related mobility services.

Unless expressly stated otherwise, Sully is not the organizer, promoter, operator, or owner of the event for which a customer parks.

References to an event, venue, team, organization, or event name are descriptive and do not by themselves imply sponsorship, endorsement, partnership, or affiliation.

Event organizers, government agencies, law enforcement, venues, and other third parties may change event times, road access, traffic patterns, venue procedures, security requirements, or other conditions outside Sully’s control.

Weather, Emergencies & Operational Changes

Parking and transportation operations may be affected by severe weather, emergencies, government orders, law-enforcement actions, road closures, utility failures, accidents, civil emergencies, acts of God, or other circumstances outside Sully’s reasonable control.

For operational, traffic, safety, accessibility, property, government, law-enforcement, or event-management reasons, Sully may reasonably modify parking entrances or exits, traffic flow, check-in procedures, assignments, transportation routes, pickup or drop-off locations, or other operating procedures.

When practical, Sully will communicate material changes through email, text message, website information, on-site personnel, signage, or another reasonable method.

Technology & Service Availability

Sully may rely on websites, reservation platforms, payment processors, QR-code systems, mobile devices, cellular networks, internet connectivity, email or text-message providers, mapping or navigation services, license plate recognition systems, cameras, access-control systems, and other technology in providing its services.

Technology may occasionally become unavailable, delayed, interrupted, inaccurate, or inaccessible because of network conditions, device failure, third-party outages, software or hardware failure, maintenance, cellular congestion, power interruptions, cyber incidents, or circumstances outside Sully’s reasonable control.

Customers remain responsible for retaining reservation information and following reasonable alternative verification or entry procedures communicated by Sully.

To the fullest extent permitted by applicable law, temporary failure or unavailability of a technology system does not independently create a right to damages, reimbursement, or refund where Sully can reasonably provide the purchased parking service through an alternative process.

Nothing in this section limits rights or remedies that cannot lawfully be limited.

Customer Communications

Customers are responsible for providing accurate contact information.

Sully may send transactional communications necessary to administer a reservation, including confirmations, parking passes, QR codes, reminders, arrival instructions, Day-of Guides, parking directions, transportation information, route or location changes, safety notices, and operational updates.

Customers are responsible for reviewing reservation communications and maintaining access to required reservation credentials.

Transactional or service-related communications are distinct from optional promotional or marketing communications.

Payment Authorization & Transaction Records

Customers authorize Sully and its applicable payment processor to charge the selected payment method for the amount displayed and accepted during checkout, together with any additional charge separately disclosed and authorized by the customer.

Customers are responsible for reviewing the reservation date, location, package, arrival deadline, vehicle information, material conditions, and final price before payment.

Sully may maintain transaction and contract records including reservation information, checkout disclosures, electronic acceptance records, applicable Terms and Privacy Policy versions, timestamps, parking-pass records, QR verification, entry records, transaction identifiers, and communications.

Nothing in these Terms prevents a customer from exercising legitimate rights available through a card issuer, payment provider, or applicable law.

Fraudulent Transactions, Credentials & Payment Disputes

Customers may not knowingly use stolen or unauthorized payment credentials, submit materially false reservation information, create or use fraudulent reservations, duplicate or manipulate parking credentials, misuse transportation credentials, or engage in fraudulent payment activity.

Sully may cancel or deny service associated with reasonably suspected fraud, subject to applicable law.

Sully may preserve and provide relevant reservation, acceptance, QR-verification, entry, transaction, communication, and other records when reasonably necessary to investigate or respond to suspected fraud, a payment dispute, a chargeback, an insurance matter, or a legal claim.

Nothing in this section restricts a customer’s lawful right to dispute a transaction.

Access Control, License Plate Information & Cameras

Sully may use QR codes, reservation records, vehicle information, license plate information, license plate recognition technology, cameras, timestamps, access-control records, and similar systems for reservation verification, parking access, entry and exit management, operational security, fraud prevention, customer support, incident review, and enforcement of parking rules.

Parking facilities may use video surveillance or other monitoring for operational, security, fraud-prevention, safety, incident-investigation, insurance, or lawful law-enforcement purposes.

The existence of cameras does not guarantee continuous monitoring, complete coverage, or prevention of criminal or accidental activity.

Privacy

Sully may collect information reasonably necessary to provide and administer its services, including customer contact information, reservation information, vehicle information, license plate information, access and verification records, communications, device or website information where applicable, and transaction-related information.

Payment card information may be processed by third-party payment processors rather than stored directly by Sully.

Sully’s separate Privacy Policy governs Sully’s collection, use, disclosure, retention, and protection of personal information and should be reviewed together with these Terms.

Accessibility & Accommodations

Sully seeks to make its parking services reasonably accessible.

Customers requiring an accommodation should contact Sully as early as reasonably possible so available options can be identified.

Transportation accessibility may depend on vehicles and services available from an applicable independent transportation provider.

Incident Reporting & Cooperation

Customers and Guests should promptly report an accident, alleged injury, vehicle damage, property damage, theft, security concern, transportation incident, or other material incident involving Sully services to on-site Sully personnel or through Sully’s designated customer-support channel.

Where reasonably requested, the reporting person should provide information available to them that is reasonably necessary to evaluate the incident, which may include reservation information, contact information, photographs, vehicle information, witness information, police or incident report information, and a description of what occurred.

Customers should not make knowingly false or materially misleading incident reports.

This section does not shorten a statute of limitations or eliminate a legal right or remedy that cannot lawfully be waived.

Lost & Found Property

Customers and Guests are responsible for their personal belongings.

Property believed to have been lost at a Sully-controlled parking facility should be reported through Sully’s designated customer-support channel.

Property believed to have been left in a vehicle or facility operated by an independent Third-Party Partner should also be reported directly to the applicable provider when appropriate.

Sully does not guarantee that lost property will be located, recovered, secured, or returned.

Any handling, retention, transfer, or disposal of found property will be subject to applicable law and reasonable operational procedures.

Assumption of Ordinary Parking, Transportation & Event Risks

Parking facilities, transportation environments, and large events involve ordinary risks associated with vehicle movement, pedestrians, crowds, weather, traffic, road conditions, temporary event infrastructure, boarding and exiting vehicles, and third-party conduct.

To the fullest extent permitted by applicable law, Customers and Guests accept ordinary risks inherent in using parking and related services that are outside Sully’s legal responsibility.

Nothing in these Terms waives liability or legal rights that cannot lawfully be waived.

Limitation of Liability

To the fullest extent permitted by applicable law, Sully will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the purchase or use of Sully services.

To the fullest extent permitted by applicable law, any limitation contained in these Terms applies only to claims and damages that may lawfully be limited.

COUNSEL REVIEW ITEM: Before publication, Alabama counsel should determine whether an aggregate monetary liability cap is appropriate and enforceable for Sully’s consumer parking transactions and, if so, approve the scope, amount, exceptions, and exact language.

Nothing in these Terms excludes or limits liability that applicable law does not permit Sully to exclude or limit.

Indemnification

To the extent permitted by applicable law, a Customer agrees to be responsible for losses, claims, damages, liabilities, or reasonable expenses arising from that Customer’s unlawful conduct, intentional misconduct, material violation of these Terms, fraud, property damage caused by the Customer, or injury caused by the Customer while using Sully services.

This provision does not require a Customer to indemnify Sully for liability that applicable law prohibits Sully from transferring.

Enforcement & Denial of Service

Sully may deny entry, refuse continued service, deny transportation access, cancel authorization associated with fraud, or require a person to leave a parking facility when reasonably necessary because of fraud, invalid authorization, unauthorized use of credentials, unsafe or unlawful conduct, material violation of these Terms, interference with operations, threats to personnel, customers, partners, or property, or applicable property, safety, or legal requirements.

A Customer’s violation of these Terms does not create a right to a refund except where applicable law requires otherwise.

Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.

Subject to any dispute-resolution provision later approved and incorporated into these Terms and to rights that cannot lawfully be waived, disputes arising from these Terms or Sully services will be handled in a court of competent jurisdiction in Alabama.

Nothing in this section eliminates a jurisdictional, venue, or consumer right that cannot lawfully be waived.

Dispute Resolution

COUNSEL REVIEW REQUIRED BEFORE PUBLICATION.

Sully should have Alabama counsel determine whether its final Terms should include a binding arbitration agreement, class-action waiver, jury-trial waiver, requirement that claims proceed individually, pre-dispute notice procedure, informal-resolution period, small-claims exception, arbitration administrator and rules, allocation of arbitration fees, severability provisions specific to arbitration, and an appropriate customer opt-out procedure.

No class-action waiver, arbitration requirement, or jury-trial waiver should be represented as part of these Terms unless and until final language has been approved and incorporated into the version presented to the Customer at the time of contracting.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible, and the remaining provisions will remain in effect, except where applicable law requires a different result.

No Waiver

A failure by Sully to enforce a provision on one occasion does not waive Sully’s right to enforce that provision or another provision later.

A discretionary accommodation provided to one Customer does not create a continuing obligation or modify these Terms.

Assignment

Customers may not assign or transfer contractual rights under a reservation except where Sully expressly permits a transfer.

Sully may assign its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, financing, or other lawful business transaction, subject to applicable law.

Changes to These Terms

Sully may update these Terms as its services, technology, partnerships, operations, or legal obligations change.

The version presented or made available in connection with the Customer’s purchase will govern that transaction except where a change is required by applicable law or otherwise legally effective.

A later update to the Terms will not, merely by publication, retroactively replace the version governing a completed transaction where affirmative agreement to the later version is legally required.

Electronic Acceptance & Contract Records

For an online reservation, Sully may require the Customer to affirmatively select an unchecked checkbox stating that the Customer has read and agrees to the Sully Parking Terms & Conditions and Privacy Policy before the Customer can proceed with payment.

Selecting the acceptance checkbox or another clearly presented electronic acceptance mechanism constitutes the Customer’s electronic agreement to the version of these Terms presented in connection with that transaction.

Sully may retain records reasonably related to contract formation, including:

  • The version of these Terms presented to the Customer;
  • The version of the Privacy Policy presented or linked;
  • The date and time of acceptance;
  • The reservation identifier;
  • The transaction identifier;
  • The acceptance event or electronic record;
  • Relevant checkout disclosures; and
  • Other records reasonably necessary to establish the transaction and agreement.

Sully may retain these records electronically in a form reasonably capable of later reference, subject to applicable law and Sully’s Privacy Policy.

Entire Agreement

These Terms, together with the Customer’s reservation details, Sully’s Privacy Policy, applicable facility rules, event-specific information, and policies expressly incorporated into the transaction constitute the agreement between the Customer and Sully concerning the applicable reservation.

Nothing contained in advertising, social media, informal communications, or promotional material modifies these Terms unless Sully expressly incorporates that representation into the applicable transaction or applicable law provides otherwise.

Customer Acknowledgment of Material Terms

By completing a Sully Parking reservation, you specifically acknowledge and agree that:
